Business Law and Corporate Law

Represent start-up and mid-size companies in business and corporate matters including, but not limited to, governance and formation; fiduciary duties; directors’ and officers’ liability; finance, business development; personnel matters (hiring and firing of executives); issuance of stock, stock option plans, confidentiality and non-disclosure agreements, buy-sell and investor agreements, and negotiate equity and non-equity agreements between venture capital and other financing sources.

We represent business owners in disputes among shareholders, clients and vendors. We represent developers, contractors and subcontractors in traditional construction defect litigation, we are adept in the analysis and resolution of complex insurance coverage and contractual indemnity issues.

Real Estate

We are expert in all aspects of real estate including, but not limited to, land use, planning, development and redevelopment. We represent private clients and developers in entitlement process and hearings; we represent brokers and agents in licensing and regulatory matters; we represent buyers and sellers in purchase and sale agreements; and landlords and tenants in lease, sublease and unlawful detainer matters. We draft and negotiate all relevant documents including, but not limited to, owner participation agreements, disposition and development agreements, exclusive negotiation agreements, commercial leases, and other related documents.


We draft and negotiate contracts for the development of software and hardware. We work closely with users, developers and engineers in the design and implementation of newly developed software and hardware and assist with dispute resolution of issues related to implementation of new technology.

Non-Profit Law

We serve as general counsel to nonprofit organizations and assist with initial filings and applications leading to tax-exempt status; compliance; growth and development. We conduct board training regarding governance, parliamentary procedure, strategic planning and fundraising.
